Terms of Service

1. Agreement to Terms

By accessing or using Vibes, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the software.

Your contract is concluded with Ben Modigell, trading as Vibes, Buchheimer Straße 32, 51063 Köln, Germany (see the imprint for full details).

2. License Grant

Upon purchase, Vibes grants you a non-exclusive, non-transferable license to use the software on up to 2 devices simultaneously. The license is perpetual for the version purchased.

3. Products and Pricing

All products are sold as one-time purchases in US dollars (USD). There are no subscriptions or recurring charges.

  • Vibes desktop app: a one-time license that also includes Vibes Companion Pro.
  • Vibes Companion Pro: available as a standalone one-time license for the browser extension. It can later be upgraded to the full Vibes desktop license by paying the price difference.

Introductory founder pricing may apply for a limited time. The current price for each product is always shown at checkout before you pay.

4. Free Trial

We offer a 14-day free trial of the desktop app. No credit card is required. The trial allows full access to all features. After the trial expires, you must purchase a license to continue using the software.

5. Payment, Taxes, and Refunds

Licenses are sold for a one-time fee in US dollars (USD). All payments are processed securely through Stripe. We provide a 14-day free trial so you can fully evaluate the software before purchasing. You may request a refund or exercise your withdrawal right within 14 days of purchase by contacting hello@vibesdj.io with your license key and purchase email.

We operate as a small business under § 19 of the German Value Added Tax Act (Kleinunternehmerregelung). For this reason, no value-added tax (VAT) is charged or shown on invoices.

6. Updates and Support

Your license is a one-time purchase. All updates are included free, forever, with no subscription or recurring fees, and the software keeps working offline. Email support is included.

7. Restrictions

You may not:

  • Share your license key with others
  • Reverse engineer, decompile, or disassemble the software
  • Use the software for illegal purposes
  • Exceed the device activation limit

8. Account Termination

We reserve the right to suspend or terminate accounts that violate these terms. License keys may be revoked in cases of abuse or fraud.

9. Disclaimer of Warranties

The software is provided "as is" without warranty of any kind. We do not guarantee that the software will be error-free or uninterrupted. Statutory warranty rights for consumers under applicable law remain unaffected.

10. Limitation of Liability

Vibes shall not be liable for any indirect, incidental, or consequential damages arising from use of the software. This does not exclude or limit liability where such exclusion is not permitted by law, including liability for intent, gross negligence, or injury to life, body, or health.

11. Governing Law

These terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, the mandatory consumer protection laws of your country of residence remain unaffected.

12. Changes to Terms

We may update these terms at any time. Continued use of the software after changes constitutes acceptance of the new terms.
